Terms of Sale

Last updated: 26 October 2026

1. Scope

These general terms apply to quotations, sales and OEM/ODM programmes offered by Shenzhen Bluegee Technology Co., Ltd. (“BLUEGEE”, “Seller”) to business customers. They are a summary for general information: the terms stated on each quotation, Proforma Invoice (PI) and signed contract prevail over this page whenever they differ.

2. Quotations and pricing

  • Prices, validity periods and trade terms (e.g. EXW / FOB) are stated on each quotation.
  • Quotations expire after their stated validity; raw-material and logistics costs can require re-quotation after that date.

3. Orders

An order is confirmed when the Seller issues a PI and the Buyer accepts it (by signature, email confirmation or payment). The PI lists the models, quantities, unit prices, trade term, payment terms and estimated lead time for that order.

4. Payment

Payment terms (method, currency and schedule) are stated on the PI for each order. Goods are dispatched in line with the payment milestones agreed on the PI.

5. Delivery and lead time

Lead times are confirmed per model and order quantity on the quotation or PI. Delivery terms follow the Incoterm stated on the PI. Stated lead times are estimates and may be adjusted for events outside the Seller’s reasonable control.

6. OEM / ODM

Customisation (branding, housing, firmware, packaging, documentation) is delivered per the agreed specification and sample approval. Approval of the pre-production sample is the reference standard for volume production of that order.

7. Warranty and returns

Warranty period and scope, and the procedure for dead-on-arrival or defective units, are stated on the quotation, PI or warranty document for the relevant order. Please inspect goods on arrival and notify us promptly with order number, serial numbers and photos or test reports.

8. Intellectual property

BLUEGEE’s name, logos and product designs remain the property of the Seller. Buyer-supplied brands and designs are used only to fulfil the Buyer’s order and are not used for other customers.

9. Limitation of liability

To the maximum extent permitted by law, the Seller’s liability under an order is limited to the amount actually paid for the goods under that order. The Seller is not liable for indirect or consequential losses. Nothing in this section limits liability that cannot be limited by law.

10. Force majeure

Neither party is liable for delays caused by events beyond its reasonable control, including natural disasters, government actions, epidemics, or widespread component shortages.

11. Governing law and disputes

Unless otherwise agreed in writing, these terms and each order are governed by the laws of the People’s Republic of China. Disputes are settled first through friendly negotiation; failing agreement, by the competent court at the Seller’s place of business in Shenzhen, China.
